The company used to be publicly listed on the Main Market of the Jamaica Stock Exchange as well on the Trinidad and Tobago Stock Exchange. However, it was <a href=\"http:\/\/jamaica-gleaner.com\/article\/business\/20170129\/national-commercial-bank-shareholders-approve-restructuring-plan\">re-organised in January 2017<\/a>. Based on some of the conversations I&#8217;ve seen, some investors don&#8217;t know who owns the bank. That&#8217;s the point of this short article.<\/p>\n<p><a href=\"https:\/\/www.caribbeanvalueinvestor.com\/news\/ttse\/ttse-top-10\/\">See also: Top 10 Companies Listed on the Trinidad and Tobago Stock Exchange<\/a><\/p>\n<p>&nbsp;<\/p>\n<h2>Who Owns NCB Jamaica? &#8211; NCB Financial Group<\/h2>\n<p>Based on the re-organisation, NCB Jamaica Limited is owned by <strong>NCB Financial Group (NCBFG). <\/strong>The NCB Financial Group was made the holding company and is now listed on the exchanges in place of NCB. The group is owned primarily by <strong>AIC (Barbados) Limited<\/strong>. The ultimate parent company is <strong>Portland Holdings Inc<\/strong> which is incorporated in Canada. Portland Holdings Inc is controlled by Billionaire Investor, <strong>Hon. Institutions and Investment Funds<\/h2>\n<p>NCB Financial Group has a total of 2, 466,762,828 shares as at the date of this publication. However, <strong>Institutions and<\/strong> <strong>Investment Funds<\/strong> account for a significant percentage of the ownership. The Top 10 largest shareholders are:<\/p>\n<ul>\n<li>AIC Barbados Limited which own 53.02% of the outstanding shares<\/li>\n<li>Sagicor PIF Equity Fund (3.16%)<\/li>\n<li>Harprop Limited (2.17%)<\/li>\n<li>NCB Insurance Company Limited WT 109 (2.55%)<\/li>\n<li>AIC Global Holdings (1.84%)<\/li>\n<li>Mr. Patrick Hylton (1.60%)<\/li>\n<li>SJIML A\/C 3119 (1.59%)<\/li>\n<li>Ideal Portfolio Services Company Limited (1.38%)<\/li>\n<li>Portland (Barbados) Limited (1.34%) and<\/li>\n<li>Guardian Life of the Caribbean (1.22%)<\/li>\n<\/ul>\n<h2><\/h2>\n<h2>Who Owns NCB Jamaica? The largest being the Chairman, Hon. Michael Lee-Chin who holds 2.41 million shares directly and 1,536,714,104 shares through connected parties. The full list of directors and their shareholdings is published in each of the company&#8217;s quarterly filings which can be found <a href=\"https:\/\/www.myncb.com\/Investor-Relations\/Reports\/Quarterly-Reports\">here.<\/a> I hesitate to publish the list here since Directors themselves tent to trade in the shares, changing the amounts they own by buying and selling shares from time to time.<\/p>\n<p>&nbsp;<\/p>\n<h2>Who Owns NCB Jamaica? &#8211; Public Shareholders<\/h2>\n<p>As mentioned earlier, the parent company of NCB Jamaica is NCBFG. I also mentioned that NCBFG is publicly traded on both the JSE and the TTSE. The company therefore has a significant number of shareholders from the general public.\u00a0 According to the company&#8217;s quarterly report for the <strong>six months ended March 31, 2019<\/strong>, there are some <strong>40, 253 shareholders<\/strong> holding a combined total of 28.42% of the company. Individually, these individuals hold less than 1% of the company&#8217;s shares each.<\/p>\n<p>&nbsp;<\/p>\n<h2>The Last Word<\/h2>\n<p>Though the question seems to be a simple one. I wrote this article to show that the answer is not quite as simple. There is no ONE clear cut owner of the organisation. Instead, it is owned by a group of people who fall into different categories. Therefore, the answer to the question is &#8220;NCB Jamaica is owned by the NCB Financial Group which is owned by a group of funds, institutions, directors and public shareholders.&#8221;<\/p>\n<p><em><strong>Disclaimer: The Author is a shareholder of NCB Financial Group.
